Constitution
Article 1. Name The name of the organization shall be The Somali Breeders and
Fanciers Association, Inc.
Article 2. Affiliation This association shall be non-affiliated
Article 3. Location This association shall serve the interests of owners,
fanciers, and breeders of the Somali cat worldwide
Article 4. Purposes
a.) To promote and advance the interests of the Somali cat
b.) To protect the Somali from obliteration of any of its naturally evolved
features
c.) To encourage and promote the quality and ethical breeding of purebred
Somali cats and to do all possible to bring their natural qualities to
perfection
d.) To promote and encourage closer harmony and exchange of information
among breeders and owners of Somali cats, maintaining the highest spirit of
cooperation and devotion to the principles of good sportsmanship
Article 5. Dissolution This association shall not be conducted or operated
for profit and no part of any profit or remainder or residue from dues or
donations to the association shall inure to the benefit of any member or
individual, except for the legal defense of an association official carrying out
the duties of his/her position. In the event of dissolution of the Association
for any reason, all of its assets after payment of its just obligations, shall
be transferred to the Winn Feline Foundation, In the event that said foundation
cannot receive said assets, or is not then in existence, then said assets are to
be transferred to some similar nonprofit organization to be selected by a
two-thirds majority vote of the Executive Council.
Article 6. Membership Persons interested in the purposes of this association
are eligible for membership as set forth in the by-laws.
Article 7. Officers This association to be governed by a Board of Trustees,
consisting of two lifetime appointees and three elected trustees. These five
individuals comprise the Executive Council.
Article 8. Meetings Meetings shall be held as set forth in the By-laws
Article 9. Amendments This Constitution may be amended by a two-thirds
majority vote of the ballots received from members in good standing. All
amendments to be pre-noticed to the membership and include rationale for change.
Unless otherwise stated in the specific amendment, said amendment shall take
effect on the date of the meeting at which the results of the voting are
announced.
By Laws
Article 1. Membership
a. Membership is attained upon completion of the Application for membership
and payment of first year's dues, and is renewable annually no later than the
end of the anniversary month in which dues were first received.
b. A member in good standing is considered a member whose dues are current.
Only members in good standing are eligible to vote in any matters requiring a
vote of the membership.
c. A member has ninety (90) days from the date dues are payable in which to
pay their dues before being dropped from the membership roster. During this
time, the member is considered in poor standing and is ineligible to vote or
receive benefits of membership.
Article 2. Officers
A. Duties of the Executive Council
1. The Executive Council shall have general control over all club
affairs.
2. The Executive Council shall select a Chair and a Treasurer.
3. The Executive Council shall fill vacancies which occur in any office.
4. The Executive Council shall schedule club meetings.
B. Duties of the Chair.
5. The Chair shall preside at meetings of the Executive Council and at
membership meetings.
6. The Chair shall have such duties as properly pertain to this office.
7. The Chair may delegate these duties.
C. Duties of the Treasurer.
1. The Treasurer shall manage the club finances, shall keep financial
records of the club, shall collect all money due to the club, and shall
regularly report on the state of the club funds.
